The contract SolaryxDev signs fixes one price against a written scope, paid as a deposit and then on milestones. The warranty runs 12 months from acceptance on our hosting, up to 24 with the Premium Subscription, or 90 days on your servers. Hosting is in Germany by default, and the source code you have paid for is yours.
Price and payment, fixed before work starts.
| Commitment | Detail | Clause |
|---|---|---|
| Price | One fixed total against a written scope. A build is never billed by the hour. | §01, Part 1 |
| Payment | A deposit on signature, credited against the total. The balance is invoiced as the work is delivered, against the signed schedule. Invoices are payable within 14 days. | §04 |
| Change of scope | Quoted in writing first, with its effect on the fee and the dates. Nothing extra starts or is charged until you approve it, in writing or in your client portal. | §01 |
| Acceptance | Each milestone is delivered in writing. You then have 14 days to test it against the agreed scope and report a material defect. | §03 |
| Stopping early | You pay for accepted milestones, the milestone in progress and work already committed. Everything you have paid for stays yours, source code included. The deposit is not refundable. | §09 |
| Your delays | If we are waiting on your feedback, content, access or payment, the affected dates move by the length of the delay, and we may recover the reasonable extra cost it causes. Either side tells the other about a delay in writing within five business days. | §02 |
A 12-month warranty while we host the system.
Published contract guides from Stratagem Systems and Paper Leaf put a typical software warranty at 30 to 90 days after acceptance. Ours starts at 12 months when we host the system, because we control the machine it runs on.
| Commitment | Detail | Clause |

| On our hosting | 12 months from acceptance. | §07 |
| With the Premium Subscription | Grows by a month for every month the plan runs without a break, up to 24 months in total. Cover already earned stays if the plan lapses. | §07 |
| On your servers | 90 days, because we do not control that environment. | §07 |
| Defects in what we built | Any reproducible defect that makes accepted work materially fail the agreed scope is corrected free of charge. | §07 |
| What it does not cover | Hosting, monitoring, security updates, backups, new features, and problems caused by your materials, a third-party system, or changes made by someone else after delivery. | §07 |
Data location and use, fixed in the contract.
| Commitment | Detail | Clause |
|---|---|---|
| Where it runs | Germany by default, inside the EU, the UAE on request at a separate price, or your own servers. The contract names which. | §05, Part 1 |
| Model training | Your confidential information, materials and prompts are never used to train a general-purpose AI model that anyone else can reach. | §07 |
| Personal data | We process personal data for you, as processor to your controller, under UAE Federal Decree-Law No. 45 of 2021. Sub-processors work under equivalent terms, and a personal-data breach is reported without undue delay. | §10 |
| Transfers | Only as UAE law permits. EU-origin data leaves only under a mechanism the GDPR recognises, such as Standard Contractual Clauses. | §10 |
| Leaving | You may move to your own or another provider at any time, and we hand over the paid source code and your data for the move. No lock-in clause. | §05 |
What you own, and the law that governs it.

What the contract does not promise.
Stating these plainly is part of the commitment.
- No uptime percentage (§05). Hosting we arrange comes from a third-party provider on its own terms, with us acting as your agent. We answer for problems caused by our own negligence in setting up or running the service, and we help resolve the provider's incidents.
- Dates are targets unless the proposal names a milestone as a deadline (§02). If a date is truly fixed for you, raise it before signing so it can be written in as one.
- The warranty covers defects in what we built. Backups, monitoring and updates after delivery come under a paid plan, outside the warranty (§07).
- AI output is yours to review before you rely on it, and it carries no warranty of accuracy or completeness (§07). That is why the systems we build route anything irreversible to a person.

What does SolaryxDev commit to in writing?
The contract SolaryxDev signs fixes one price against a written scope, paid as a deposit and then on milestones. The warranty runs 12 months from acceptance on our hosting, up to 24 with the Premium Subscription, or 90 days on your servers. Hosting is in Germany by default, and the source code you have paid for is yours.
Who owns the source code once the project is paid?
Everything built specifically for you. The economic rights are assigned to you on full payment, and the source code for paid work is yours, provided on request at any time. Components we owned beforehand stay ours, and you receive a perpetual, royalty-free licence to use them in your system.
What happens if we stop early?
You pay for the milestones already accepted, the one in progress and work reasonably committed by that date, with no separate termination fee. Everything paid for stays with you, the source code included, and the deposit is not refundable.
What if the delay is on our side?
The affected date and every date after it move by the length of the delay. We are not in breach for it, and the contract lets us recover the reasonable extra cost the delay causes. Whoever learns of a delay tells the other in writing within five business days, and the revised timeline is recorded.
How long is your software warranty?
12 months from acceptance when we host the system, extended to as much as 24 while the Premium Subscription runs, and 90 days on your own servers. It covers any reproducible defect in accepted work.
Which law governs the client agreement, and where are disputes heard?
The federal laws of the United Arab Emirates. A dispute first gets 30 days of negotiation, then goes to arbitration under the rules of the Dubai International Arbitration Centre, seated in the DIFC, in English, before a sole arbitrator.
