Terms of Service
Last updated: 24 September 2026
1. Who these terms are with
This website and the SolaryxDev brand are operated by AL MANNAN GENERAL TRADING FZE-LLC (“SolaryxDev”, “we”, “us”), a Free Zone Establishment with limited liability, registered in and licensed by the Sharjah Publishing City Free Zone (the “Free Zone”), United Arab Emirates. By accessing this website or engaging us, you agree to these terms.
2. What we do
SolaryxDev is a software studio. We design, build, and operate software, and the tools around it (such as CRM, ERP, booking, calendar, ticketing, and training), for our clients, with a high degree of automation and a human approving anything that moves money, infrastructure, or production state.
3. Engagements, proposals & scope
Marketing materials on this site are an invitation to discuss, not an offer. Any engagement is defined in a written proposal or statement of work (SOW) that sets out scope, deliverables, timeline, and fees. Where a proposal and these terms conflict, the signed proposal prevails for that engagement. Changes to scope are agreed in writing.
4. Fees & payment
Fees, currency, and schedule are stated in your proposal or invoice. Invoices are issued through our billing system and are payable by the due date stated on the invoice. Online card payments are processed by Stripe; we do not store full card details. Late or unpaid amounts may lead to suspension of work or services. Taxes are applied where required by law.
5. Your responsibilities
- Provide accurate information, content, access, and timely approvals needed for the work.
- Hold the rights to any material you give us and ensure our use of it is lawful.
- Use our services and any delivered software lawfully and as agreed.
- Keep your portal credentials secure and tell us promptly of any unauthorised use.
6. Intellectual property
On full payment, the bespoke deliverables created for you under an engagement are licensed or assigned to you as set out in the relevant proposal. We retain ownership of our pre-existing materials, frameworks, tooling, and know-how (including our shared infrastructure and internal components), and grant you a licence to use them only as needed to use your deliverables. The SolaryxDev name, logo, and brand remain ours.
7. Confidentiality
Each party will protect the other’s non-public information disclosed in connection with an engagement, use it only for that engagement, and not disclose it except to those who need it and are bound by similar obligations, or where required by law.
8. Data protection
How we handle personal data on this website is described in our Privacy Policy, and what the website stores in your browser in our Cookie Policy. Where we process personal data on your behalf inside a product we build or operate for you, you are the controller and we are the processor under a Data Processing Agreement (DPA), which governs that processing.
9. Warranties & disclaimers
We perform our services with reasonable skill and care. Except as expressly stated in a signed proposal, this website and any information on it are provided “as is” without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the website will be uninterrupted or error-free.
10. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, or consequential loss, or for loss of profit, revenue, or data. Our total aggregate liability arising out of or relating to an engagement is limited to the fees paid by you for that engagement in the 12 months before the event giving rise to the claim. Nothing in these terms excludes liability that cannot be excluded by law.
11. Term & termination
These website terms apply while you use the site. Engagement terms (including notice and termination) are set in the relevant proposal. We may suspend or end access to the website or portal if these terms are breached. Provisions that by their nature should survive termination (e.g. IP, confidentiality, liability) continue to apply.
12. Governing law & disputes
These terms are governed by the laws applicable in the emirate in which the Free Zone lies and the United Arab Emirates, including the rules of the Free Zone. The parties will first try to resolve any dispute in good faith; failing that, disputes are subject to the exclusive jurisdiction of the competent courts of that emirate and the United Arab Emirates.
13. Changes
We may update these terms; the “last updated” date shows the current version. Continued use of the website after a change means you accept the updated terms.
